Purpose TheCompensationCommitteeandtheBoardbelievethatitisinthebestinterestsoftheCompanyanditsstockholdersto provide,throughtheEquityPlan,acomprehensiveequityincentiveprogramdesignedtoenabletheCompanytoattract, retain and rewardemployees,non-employeedirectorsandotherpersonsprovidingservicestotheCompany.TheBoard also believesthat equity compensationis essentialto link executivecompensationwith long-termstockholdervalue creation.
