Aspartofitsengagementin2022,Compensiaprovidedanenvironmentalscanofexecutivecompensation,evaluatedour compensationpeergroupcomposition,evaluatedexecutivecashandequitycompensationlevelsatourcompensation peergroupcompanies,reviewedproposedcompensationadjustmentsandchangestoexistingarrangements,advisedon theframeworkforourannualandlong-termincentiveawards,assessedexecutiveperquisitesrelativetopeerandbroader marketpracticesandreviewedproposedcompensationarrangementsfornewexecutives,aswellasthecompensationof ournon-employeedirectors.Compensiadidnotprovideanyotherservicestousin2022. Recognizingtheimportanceofobjectiveadvice,theCompensationCommitteecloselyexaminestheproceduresand safeguardsofitscompensationconsultanttoensurethatitsservicesareobjective.TheCompensationCommitteehas assessedtheindependenceofCompensiapursuanttotheapplicableNasdaqlistingstandardsandSECrulesand concludedthatCompensiasworkfortheCompensationCommitteedoesnotraiseanyconflictofinterest.
