TheCompensationCommitteeiscommittedtoanexecutivecompensationprogramthatistransparent,appropriately incentivizesour executiveofficersand aligns with stockholderinterestsand externalexpectationsand enablesus to effectively competefor, attract and retain top talent so we can build the strongest possible leadershipteam for PayPal. The CompensationCommitteebelievesthegoalsofourexecutivecompensationprogramareappropriateandthatthe programisproperlystructuredtoachievethosegoals.Indecidinghowtovoteonthisproposal,theBoardencouragesyou to read the CompensationDiscussionandAnalysisandthecompensationtablesectionsofthisproxystatement.
